1.0 NAME
1.1 The name of the organization shall be Utah Designer Craftsmen, (UDC), and shall consist of an organization of active artists who create objects in any media (fiber, clay, metal, wood, glass, etc.), in original, two and three dimensional designs or those who are interested in these crafts and their execution.
2.0 PURPOSE
2.1 To unite in closer fellowship all Artist/Craftsperson(s in Utah who are striving for personal creative development, higher professional and aesthetic standards in concept, craftsmanship and design
2.1 To initiate regular statewide meetings to support the interaction of members through educational programs, discussions, etc.
2.3 To establish communication opportunities for members through both print and electronic media.
3.0 REPRESENTATIVES:
3.1 Five (5) Representatives at large, representing diverse geography and media, will be elected for two year terms by the general membership and may be retained for a second term.
3.2 No more than two consecutive terms may be served as a Representative.
4.0 UDC will not engage in a business of profit to the organization as a whole.
5.0 MEMBERSHIP:
5.1 To become a member of UDC, the applicant must be a resident or Utah and be willing to assist in the fulfilling of the goals and purposes of UDC.
5.2 Membership dues will be $36 annually. Dues may be changed by a two thirds (2/3) vote of the Board.
6.0 OFFICERS:
6.1 The officers of Utah Designer Craftsmen shall be: President, Vice-President, Secretary and Treasurer. Officers will be elected for two (2) year terms by the general membership and may be retained for a second term.
7.0 DUTIES OF PRESIDENT:
7.1 Call, organize and preside over quarterly Board meetings
7.2 Be the official spokesperson and have signatory powers.
8.0 DUTIES OF VICE-PRESIDENT :
8.1 If the President fails to call regular meetings, the Vice-President may function in his stead.
9.0 DUTIES OF TREASURER :
9.1 Manage and maintain all UDC finances and accounts.
9.2 Maintain membership dues and process.
9.3 Present an annual, formal, written financial report to the Board of Trustees. The report to include all income and expenses for the year, a list of all UDC accounts and their beginning and ending year balances.
10.0 DUTIES OF SECRETARY:
10.1 Keep formal, written minutes of all board and membership meetings.
10.2 Maintain all UDC written records and reports including minutes, financial and related organizational papers.
11.0 BOARD OF TRUSTEES:
11.1 The government, administration and financial supervision of UDC affairs shall be controlled by a Board of Trustees composed of nine (9) members, consisting of the our (4) elected Officers and five (5) Representatives.
11.2 If a Board member fails to perform his or her duties, the remaining term will be filled by a majority vote of the Board.
12.0 QUORUM:
12.1 A quorum of five (5) Board or Trustees members, two of whom must be Officers, shall be sufficient to pass potions or make decisions relative to UDC activities.
13.0 NOMINATIONS:
13.1 The five (5) Representatives shall act as the Nominating Committee, and their ballot shall be distributed in, or prior to, the announcement of the Fall meeting, thirty (30) days prior to the election. Board members are eligible for nomination for any office.
14.0 ELECTION OF BOARD OF TRUSTEES:
14.1 The Officers and Representatives shall be elected by a majority vote of UDC members. This election shall be carried on through the mail to enable statewide participation. Any Officer or Representative may be re-elected for a second term.
14.2 President and Vice-President along with three (3) Representatives shall be elected on odd-numbered years. Secretary and Treasurer along with the remaining two (2) Representatives shall be elected on even numbered years.
15.0 COMMITTEES AND POSITIONS:
15.1 Committees and positions may be appointed as needed by the President of UDC, in consultation with the Board to help plan and execute UDC activities and may be held by any member, officer, or representative in UDC.
16.0 MEETINGS:
16.1 Board meetings should be called quarterly, or as needed, to assure the proper and efficient administration of UDC.
16.2 The Fall general meeting may occur at any date set by the Board and Program Committee, for any time between September and December. Dues will then be payable. The spring general meeting date will be set for any time between February and June. Dates of exhibits, current business, issues and concerns will be addressed at these meetings, as well as educational programs.
